Terms and Conditions
The conditions that apply when you buy licences, subscriptions, cloud services, shop goods and services from us.
As of: October 2026
1. Scope and provider
These General Terms and Conditions (hereinafter "Terms") apply to all contracts concluded between Abedev LLC, Guram Panjikidze St. 10, 0160 Tbilisi, Georgia, e-mail info@abedev.com, phone (+995) 577 778 939 (hereinafter "Abedev", "we") and our customers via our website, our online shop, by e-mail or in any other way. They cover in particular:
- software licences of unlimited duration (perpetual licences) and their updates,
- subscriptions (licences for a fixed term with automatic renewal),
- cloud services (software as a service, e.g. Resto),
- trial versions,
- goods from our shop (e.g. hardware, accessories),
- services, in particular custom software development, installation, training and support.
"Consumer" means any natural person who concludes a contract for purposes that are predominantly outside his or her trade, business or profession. "Business customer" means any natural or legal person acting in the exercise of a commercial or independent professional activity. Deviating terms of the customer do not apply unless we expressly agree to them in writing. For the use of our software, the End User Licence Agreement (EULA) displayed at the time of the order applies in addition; in the event of contradictions, these Terms take precedence over the EULA with regard to the conclusion and performance of the purchase contract, and the EULA takes precedence with regard to the scope of use of the software.
2. Conclusion of contract
The presentation of products and services on our website does not constitute a legally binding offer, but an invitation to place an order. By clicking the order button, you submit a binding offer to conclude a contract. Before submitting, you can check and correct all entries. We confirm receipt of the order by e-mail without delay; this confirmation does not yet constitute acceptance. The contract is concluded when we accept the order by e-mail, deliver the licence key, activate the cloud instance or ship the goods, whichever occurs first.
For individual services (in particular custom development), the contract is concluded by acceptance of our written offer (e.g. by signature, by e-mail or by confirmation in the customer portal). The contract language is the language of the website used for the order (Georgian, English, German or Russian). We store the contract text; you will receive the order data and these Terms by e-mail and can view your orders in the customer portal at any time.
3. Prices and taxes
All prices are stated in the currency shown at checkout. Whether prices include or exclude value added tax (VAT) is indicated next to the price. Where VAT is charged, it is calculated at the statutory rate applicable to the customer's place of supply (e.g. 18 % in Georgia or the rate of the EU member state of a consumer for electronically supplied services). For business customers in the EU with a valid VAT identification number, the reverse charge procedure applies where legally permissible; the customer is then liable for the VAT. Shipping costs for physical goods are shown separately before the order is placed.
4. Payment
The available payment methods are displayed at checkout (e.g. PayPal, credit card via Stripe, card payment via Bank of Georgia or TBC Bank, Klarna, bank transfer). For payment by bank transfer, the invoice amount is due within the period stated on the invoice (generally 14 days). For subscriptions, the fee for each billing period is due in advance at the beginning of the period. If the customer is in default of payment, we are entitled to suspend the delivery of further services, the activation of new licences and – after prior notice – access to cloud services until full payment has been made. Statutory default interest remains unaffected. Business customers can only offset claims that are undisputed or have been finally established by a court.
5. Software licences (perpetual licences)
With a perpetual licence, the customer acquires the non-exclusive right, unlimited in time, to use the purchased version of the software within the scope of the licence type ordered (in particular the number of devices or users). The details are governed by the EULA. Updates are included for the period stated in the product description (e.g. 12 months of free updates); after that period, the software can continue to be used in the version last installed. Further updates and support can be acquired separately.
Delivery: licence keys and download links are delivered electronically – by e-mail and in the customer portal – usually immediately after receipt of payment, at the latest within 2 working days. The customer is responsible for keeping the licence key confidential. Activation requires an internet connection to our licence server; activations can be released in the customer portal (e.g. when changing the computer).
6. Subscriptions
Subscriptions are concluded for the term stated in the order (e.g. one month or one year) and renew automatically for the same period unless cancelled before the end of the current term. The customer can cancel at any time with effect from the end of the current billing period – in the customer portal, by e-mail or in text form. We will remind you by e-mail in good time before a renewal. After the end of the subscription, the right to use the software expires. We may change subscription prices with effect for the next billing period; we will inform you of any price increase at least 30 days in advance, and you may then cancel before the change takes effect.
7. Cloud services (SaaS)
For cloud services, we provide the software as an online service on our infrastructure or that of our hosting partners; the customer receives access via a subdomain or a web address. We aim for an annual average availability of 99 %; excluded are planned maintenance windows (announced in advance where possible) and disruptions beyond our control (e.g. failure of public networks, force majeure). We perform regular backups of the cloud data. The customer remains responsible for the content he or she stores and for compliance with the laws applicable to its use (e.g. tax and data protection law). Where we process personal data on behalf of the customer, we conclude a data processing agreement on request.
After the end of the contract, the customer can export his or her data within 30 days; the instance and all data stored in it will then be irrevocably deleted, unless we are legally obliged to retain them.
8. Trial versions
Trial versions and demo access are provided free of charge for the stated test period for evaluation purposes only. They may contain functional limitations. A trial ends automatically and does not convert into a paid contract unless the customer actively places an order. Our liability for trial versions is limited to intent and gross negligence, without prejudice to section 13 paragraph 2.
9. Goods from the shop
Physical goods are delivered to the delivery address stated by the customer using the shipping method selected. The delivery times stated in the shop are approximate and begin, for advance payment, on the day after payment has been received. If a product is not available, we will inform the customer without delay and refund any payments already made. For consumers, the risk of accidental loss and deterioration of the goods passes upon delivery to the consumer; for business customers, it passes upon handover to the carrier. The goods remain our property until full payment has been made (retention of title). Obvious transport damage should be reported to the carrier and to us without delay; this does not affect the statutory rights of consumers.
10. Services and custom development
The scope of services such as custom software development, websites, apps, installation, training or support is determined by our offer or the agreed specification. Unless otherwise agreed, services are remunerated according to the offer (fixed price) or on a time-and-material basis at the agreed hourly rates. We may invoice partial payments according to project progress (milestones). The customer provides the information, content, access and cooperation required for performance in good time; delays resulting from missing cooperation extend agreed deadlines accordingly.
Where a work result is owed, the customer will test it within 14 days of delivery and declare acceptance if it is essentially in accordance with the contract; insignificant defects do not entitle the customer to refuse acceptance. The work is deemed accepted if the customer does not report any material defects within this period or puts the result into productive use. Upon full payment, the customer receives the rights of use to the individually developed results agreed in the contract; standard components, libraries and our pre-existing know-how remain our property or that of the respective rights holders, and the customer receives a simple right to use them together with the result.
11. Right of withdrawal for consumers
Consumers have a statutory right of withdrawal for distance contracts. Details, including the special rules for digital content, licence keys, services and custom-made products, can be found in our withdrawal policy.
12. Warranty for defects
The statutory warranty rights apply. For consumers in the European Union, the mandatory statutory provisions of their country of residence remain unaffected, in particular the rules on digital products and on the update obligation. For business customers, the limitation period for claims for defects is 12 months from delivery or acceptance; this does not apply to claims for damages under section 13. Software is deemed defective only if it deviates materially from the product description; according to the state of the art, it is not possible to develop software that is completely free of errors. The customer will report defects in a comprehensible manner, stating the information available to him or her (e.g. error messages, steps to reproduce). We will first remedy defects by repair or replacement delivery (for software also by providing an update or a workaround).
13. Liability
We are liable without limitation for damage caused intentionally or through gross negligence, for injury to life, body or health, under a guarantee given, for fraudulently concealed defects and under mandatory statutory product liability provisions.
In the event of slightly negligent breach of an essential contractual obligation (an obligation whose fulfilment makes the proper performance of the contract possible in the first place and on whose observance the customer may regularly rely), our liability is limited to the foreseeable damage typical for the contract. Otherwise, liability for slight negligence is excluded. Towards business customers, liability for lost profit and for indirect damage is excluded in cases of slight negligence, and our total liability per contract year is limited to the amount of the remuneration paid in that year, unless one of the cases of paragraph 1 applies.
We are liable for the loss of data only to the extent that the damage would also have occurred if the customer had properly backed up the data at regular intervals appropriate to the risk. Mandatory consumer protection provisions, in particular those of the customer's country of residence in the EU, remain unaffected by the above limitations.
14. Data protection
We process personal data in accordance with our privacy policy.
15. Changes to these Terms
The version of these Terms valid at the time of the order applies to the respective contract. For ongoing subscriptions and cloud services, we may amend these Terms for valid reasons (e.g. changes in the law or new functions) with effect for the future. We will notify the customer of the changes by e-mail at least 30 days before they take effect; the customer may object or cancel the contract with effect from the time the changes take effect. If the customer does not object within this period, the changes are deemed accepted; we will specifically point this out in the notification. Changes to essential contractual obligations (e.g. scope of services, price) are not made in this way.
16. Governing law and place of jurisdiction
These Terms and all contracts concluded under them are governed by the law of Georgia, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). For consumers, this choice of law applies only insofar as it does not deprive them of the protection afforded by the mandatory provisions of the law of the state in which they have their habitual residence (Art. 6(2) Rome I Regulation).
For business customers, the exclusive place of jurisdiction for all disputes arising from or in connection with the contract is Tbilisi, Georgia (Tbilisi City Court). For consumers, the courts of Tbilisi have jurisdiction; however, consumers may also bring proceedings before the courts of their country of residence, and mandatory statutory places of jurisdiction remain unaffected.
17. Dispute resolution
We are neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board. If you have a complaint, please contact us directly at info@abedev.com – we will do our best to find a solution together with you.
18. Final provisions
Should individual provisions of these Terms be or become invalid, the validity of the remaining provisions shall not be affected. In place of the invalid provision, the statutory provision applies. Declarations relating to the contract can be made by e-mail, unless the law requires a stricter form.
