Licence agreement (EULA)

The terms of use for Abedev software – they apply to every licence you purchase from us.

EULA · Version 2.0

Version 2.0 – October 2026

1. Parties and scope

This End User Licence Agreement ("EULA") is concluded between Abedev LLC, Guram Panjikidze St. 10, 0160 Tbilisi, Georgia ("Abedev", "we") and the person or company that acquires, activates or uses Abedev software ("Customer", "you"). It applies to all software products of Abedev – in particular Pizzato, AbeSyn and Resto – including updates, add-ons, documentation and cloud services, unless a separate written agreement has been concluded for a specific product.

By ticking the acceptance box at checkout, by activating a licence key or by using the software you accept this EULA in the version shown at that time. If you act on behalf of a company, you confirm that you are authorised to bind it.

2. Definitions

  • Software: the computer program provided by Abedev in object code, including updates, documentation and the associated online services.
  • Plan: the licence variant purchased (e.g. Single, Restaurant, Subscription, Cloud Start, Cloud Pro) with the scope stated on the product page, in the order and on the invoice.
  • Licence key: the key issued to you for activating on-premise software.
  • Device (activation): a computer, tablet, smartphone or server installation on which the Software is activated and which is identified by a technical device identifier.
  • Cloud service: software operated by Abedev and made available via the internet, usually on a sub-domain assigned to you.
  • Consumer: a natural person acting for purposes outside their trade, business or profession. Business customer: any other customer.
  • Maintenance period: the period during which you are entitled to updates, as stated in the plan.

3. Grant of licence

3.1 Subject to full payment of the agreed fee and compliance with this EULA, Abedev grants you a non-exclusive, non-transferable (except as provided in section 5.4) and non-sublicensable right to use the Software for your own purposes within the scope of the purchased plan (number of devices, users, locations and term).

3.2 "Use" means installing, loading, running and displaying the Software and processing your own data with it. You may make one backup copy of on-premise software for security purposes.

3.3 All rights not expressly granted remain with Abedev.

4. Licence types

4.1 Perpetual licence

A perpetual licence (one-time payment) entitles you to use the version acquired for an unlimited period. Updates are included only during the maintenance period stated in the plan (e.g. 12 months); versions released afterwards may be obtained by renewing maintenance or buying an upgrade. The right to use versions released during the maintenance period continues after it ends.

4.2 Time-limited licence and subscription

A time-limited licence (e.g. annual licence) or subscription entitles you to use the Software for the booked term. Subscriptions renew automatically by the booked billing period (monthly or yearly) unless cancelled before the end of the current period; you can cancel at any time in your customer account with effect from the end of the period. During the subscription you always receive the latest version. If a payment is not received, the licence remains usable for a grace period (currently 7 days) after the end of the period; afterwards the Software may be restricted or locked until payment is made.

4.3 Cloud service (SaaS)

For cloud plans Abedev operates the Software on its own or contracted servers and grants you access via the internet for the term of the subscription. No copy of the Software is handed over. Abedev performs operation, updates and backups. Abedev strives for high availability but does not owe uninterrupted availability; maintenance windows are announced in advance where possible.

4.4 Trial and demo versions

Trial versions and demo access (e.g. a 14-day trial) may be used free of charge for evaluation only and not for productive operation. They may be limited in function or time and end automatically. Data entered in a trial or demo may be deleted at the end of the trial unless you switch to a paid plan. Sections 12 and 13 apply to free versions with the proviso that Abedev is liable only for intent, gross negligence and fraudulently concealed defects, unless mandatory law provides otherwise.

5. Activation, devices and users

5.1 The permitted number of devices (activations), users or locations is stated in the plan (e.g. 1, 3 or 5 devices). Each installation on a different device requires a separate activation.

5.2 When activated, the Software transmits the licence key and a technical device identifier to Abedev's licence server and checks the validity of the licence. The Software checks the licence online at regular intervals. If no connection is possible, it continues to work for a reasonable offline period; if the licence cannot be verified for a longer time, functions may be restricted until the next successful check.

5.3 You can view and deactivate activated devices at any time in your customer account (section "Licences") or from within the Software, e.g. when replacing a computer. A freed activation can then be used on another device.

5.4 A business customer may transfer a perpetual licence to a third party once in full, provided that it permanently gives up its own use, deactivates all installations and informs Abedev of the new licensee in writing. Splitting a licence is not permitted. Subscriptions and cloud access are not transferable without Abedev's consent.

6. Restrictions

Unless expressly permitted by this EULA or by mandatory law, you may not:

  • copy the Software beyond what is necessary for its intended use and one backup copy;
  • decompile, disassemble or otherwise reverse engineer the Software, except to the extent that applicable law permits this without possibility of contractual exclusion (e.g. to establish interoperability);
  • modify, translate or create derivative works of the Software;
  • rent, lease, lend, sell or otherwise make the Software available to third parties, or operate it as a service for third parties (hosting, outsourcing);
  • bypass, disable or manipulate licence checks, activation limits or technical protection measures;
  • publish or pass on licence keys or access data;
  • use the Software for unlawful purposes or in a way that impairs the security or availability of Abedev's systems.

7. Updates, maintenance and support

7.1 During the maintenance period or the term of a subscription or cloud plan, you receive the updates released by Abedev for the licensed product. Updates may change or add functions; essential functions will not be removed without good reason.

7.2 Abedev may provide security updates also outside the maintenance period. Installing updates is your responsibility for on-premise software; Abedev is not responsible for defects that would have been avoided by an update that was offered.

7.3 Support is provided by e-mail and, where included in the plan, by remote maintenance or telephone during office hours. The scope (e.g. priority support, remote installation) is stated in the plan. Custom developments and on-site work are charged separately unless otherwise agreed.

8. Customer data and cloud

8.1 All data you enter into the Software or the cloud service remains yours. Abedev processes it only to provide the service.

8.2 You are responsible for regular backups of on-premise installations. In the cloud service, Abedev makes regular backups; these serve to restore operations and do not replace your own export.

8.3 You can export your data in a common format during the term. After the end of a cloud subscription, your instance is deactivated and your data is retained for a retention period (currently 30 days) during which you may request an export; afterwards it is permanently deleted, unless statutory retention obligations apply.

8.4 Where Abedev processes personal data on your behalf in the cloud service (e.g. data of your guests or employees), Abedev acts as your processor. On request we conclude a data processing agreement with you.

9. Ownership and intellectual property

The Software is protected by copyright and other intellectual property laws. All rights, title and interest in the Software, documentation, trademarks (including "Abedev", "Pizzato", "AbeSyn" and "Resto") and know-how remain with Abedev or its licensors. You acquire only the rights of use described in this EULA. Copyright notices and licence information may not be removed. Suggestions you make for improving the Software may be used by Abedev freely.

10. Third-party and open-source components

The Software may contain components of third parties, including open-source software. These components are subject to their own licence terms, which are delivered with the Software or listed in its documentation. Where those terms grant you broader rights or require certain information or source code to be provided, they take precedence over this EULA for the respective component.

11. Data protection

11.1 Abedev processes personal data in accordance with the Law of Georgia on Personal Data Protection and – where applicable – the EU General Data Protection Regulation (GDPR). Details are given in our privacy policy on our website.

11.2 For licence activation and verification the following data is processed: licence key, product and version, technical device identifier, device name (host name), IP address and the time of the last check. This data is used solely to manage licences, prevent misuse and deliver updates, and is deleted when it is no longer needed for these purposes.

12. Warranty

12.1 Abedev warrants that the Software essentially conforms to the product description at the time of delivery. It is not possible to develop software that is free of errors in all applications; minor deviations that do not significantly impair use are not defects.

12.2 Consumers are entitled to the statutory rights in the event of defects (including the rights under the applicable rules on digital content and digital services); these rights are not restricted by this EULA.

12.3 For business customers: Abedev will remedy defects at its discretion by correction, workaround or delivery of a new version. If remedy fails after a reasonable period, the customer may reduce the fee or, for significant defects, terminate the contract. The limitation period for warranty claims is 12 months from delivery, except in cases of intent or fraudulently concealed defects. Defects must be reported in writing with a reproducible description.

13. Liability

13.1 Abedev is liable without limitation for damage caused intentionally or by gross negligence, for injury to life, body or health, under mandatory product liability law and in the case of an expressly assumed guarantee.

13.2 In the case of slight negligence, Abedev is liable only for the breach of essential contractual obligations (obligations whose fulfilment makes the proper performance of the contract possible and on whose observance you may regularly rely), and only up to the foreseeable damage typical for this type of contract. Towards business customers, liability in such cases is additionally limited per year of contract to the amount paid by the customer for the affected product in the twelve months preceding the damaging event.

13.3 Towards business customers, Abedev is not liable for lost profit, indirect damage or the loss of data that would have been avoided by proper backups.

13.4 Mandatory statutory provisions in favour of consumers, in particular under the Law of Georgia on Consumer Rights Protection and the law of the EU member state in which a consumer has their habitual residence, remain unaffected.

14. Term and termination

14.1 Perpetual licences are concluded for an unlimited period; time-limited licences, subscriptions and cloud plans for the booked term.

14.2 Both parties may terminate the contract for good cause without notice. Good cause for Abedev includes in particular a serious breach of sections 5 or 6 (e.g. distribution of licence keys, circumvention of licence checks) or a payment default that continues after a reminder and the expiry of the grace period.

14.3 Upon termination your right of use ends. You must uninstall the Software and delete all copies; cloud access is deactivated (see section 8.3 for data export). Statutory withdrawal rights of consumers are explained in our withdrawal information and remain unaffected.

15. Export control and sanctions

You undertake to comply with applicable export control and sanctions regulations and not to use or pass on the Software to persons, organisations or countries subject to such restrictions.

16. Governing law and place of jurisdiction

16.1 This EULA is governed by the laws of Georgia, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers, this choice of law applies only insofar as it does not deprive them of the protection of mandatory provisions of the law of the country of their habitual residence.

16.2 For business customers, the exclusive place of jurisdiction is Tbilisi, Georgia (Tbilisi City Court). Consumers may also bring proceedings in the courts of their place of residence; mandatory statutory places of jurisdiction remain unaffected.

17. Changes to this EULA

Abedev may amend this EULA for future versions, new products or for legal reasons. Each version is numbered; the version you accepted applies to your purchase. For subscriptions and cloud plans, changes will be notified by e-mail at least 30 days before they take effect; if you do not agree, you may cancel the subscription before the change takes effect. Changes that affect the main obligations to your disadvantage require your consent.

18. Final provisions

18.1 Should individual provisions of this EULA be or become invalid, the validity of the remaining provisions shall not be affected. The invalid provision shall be replaced by the statutory provision.

18.2 This EULA is available in Georgian, English, German and Russian. In the event of discrepancies, the version in the language in which the contract was concluded prevails.
